Company Council
The Company Board is the governing body of the company, subordinate to the General Meeting of Shareholders. Its primary role is to protect shareholders' interests and coordinate the company's activities between general meetings. The Board makes decisions regarding strategies and action plans in accordance with the law and the company's statute.
Board members are elected by the General Meeting of Shareholders for a two-year term, with the possibility of re-election without a limit on the number of terms. Elections are conducted through cumulative voting, allowing shareholders to distribute their votes among candidates as they see fit.
Board Responsibilities
The Board has key responsibilities, including:
- Convening and implementing decisions of the General Meeting of Shareholders
- Approving significant transactions and the executive's annual report
- Managing the issuance of securities
- Approving internal regulations and management contracts
- Making decisions regarding the expansion or dissolution of subsidiaries
Board members have the authority to make strategic decisions essential to the company's operations. They can propose management measures, modify the company’s statute, sign contracts on behalf of the company, and organize Board or Shareholder meetings.
